Welcome to SellMisto.com (“SellMisto”, “we”, “our”, “us”). SellMisto operates a digital marketplace that enables Buyers (“Users”) to discover, purchase, and interact with independent Sellers who list products and services on the Platform.

These Terms & Conditions (“Terms”) govern your:

• Access and use of the SellMisto Platform

• Interactions with Sellers and Buyers

• Rights and obligations

• Conduct and responsibilities

• Participation in transactions, payments, and dispute processes

By creating an account, browsing the Platform, placing an order, or using any feature of SellMisto, you confirm that:

• You have read these Terms

• You fully understand them

• You agree to comply with them

• You accept all supporting policies, including the Privacy Policy, Seller Policy, Buyer Policy, and Return & Refund Policy

If you disagree with any part of these Terms, you must discontinue use of the Platform immediately.

SellMisto may revise or update these Terms at any time. Updated versions become effective upon posting. Continued use of the Platform implies acceptance of the revised Terms.

2. DEFINITIONS

For the purpose of interpreting this document:

2.1 Platform

SellMisto.com, its mobile apps, systems, digital infrastructure, tools, and services.

2.2 Buyer

Any individual or entity purchasing a product or service through the Platform.

2.3 Seller

Any individual or business listing, offering, and selling products or services on the Platform.

2.4 Product

Any physical item, digital item, or service offered by Sellers.

2.5 Order

A purchase request submitted by a Buyer through the Platform.

2.6 Logistics Partner

Couriers or shipping providers responsible for delivery.

2.7 Service Provider

Individuals or businesses offering services (installation, repair, consultancy, etc.).

2.8 User

Any person accessing or using the Platform (Buyer, Seller, or visitor).

3. CONDITIONS OF USE

3.1 Eligibility

By using the Platform, you confirm that you:

• Are at least 18 years old

• Have legal capacity to enter binding agreements

• Use the Platform for lawful purposes

• Are not prohibited under applicable laws

SellMisto may require ID verification at any time to confirm eligibility.

3.2 Account Registration & Responsibilities

To access core features, including ordering or selling, you must create a SellMisto account.

You agree to:

• Provide accurate and up-to-date information

• Avoid false identities or impersonation

• Protect your login credentials

• Accept responsibility for all account activity

• Report unauthorized access immediately

SellMisto reserves the right to:

• Suspend

• Restrict

• Terminate

accounts involved in suspicious, abusive, illegal, or policy-violating behavior.

3.3 Privacy & Data Usage

Your data is collected and used according to the SellMisto Privacy Policy.

By using the Platform, you consent to:

• Data processing

• Verification procedures

• Fraud detection

• Order updates and alerts

• Communications via email, SMS, calls, or app notifications

SellMisto may share data with logistics, payment, or verification partners solely for operational and compliance purposes.

3.4 Marketplace Role (Intermediary Status)

SellMisto acts as:

• A marketplace facilitator

• A technology provider

• A payment intermediary

• A logistics coordinator (where applicable)

SellMisto does NOT:

• Own inventory

• Manufacture products

• Guarantee authenticity of Seller-listed products

• Enter into sales contracts directly with Buyers (unless specifically stated)

Sales contracts exist between Buyer and Seller.

SellMisto provides:

• Payment collection

• Order management tools

• Buyer protection mechanisms

• Support ticketing

• Logistics support

but does not assume ownership or liability for Seller-provided items.

3.5 Communications

By using the Platform, you authorize SellMisto to send communications through:

• SMS

• Email

• Instant notifications

• Phone calls

These may include:

• Order confirmations

• Delivery updates

• Security alerts

• Promotional messages

• Feedback requests

3.6 Prohibited Conduct

Users must NOT:

• Violate laws or third-party rights

• Engage in fraud or deception

• Abuse promotions or referral programs

• Create multiple accounts for manipulation

• Harass Sellers, Buyers, or staff

• Upload malware or malicious scripts

• Post false, offensive, or misleading content

• Perform or encourage offline transactions

• Manipulate reviews or ratings

• Attempt platform scraping, reverse engineering, or unauthorized access

Violations may result in:

• Immediate account termination

• Order cancellation

• Payment freezing

• Permanent bans

• Legal action

• Reporting to authorities

3.7 User-Generated Content

User submissions (reviews, photos, comments, feedback) must be:

• Honest

• Respectful

• Non-defamatory

• Free of IP infringement

• Based on genuine experiences

By submitting content, you grant SellMisto an irrevocable, perpetual, royalty-free license to use, modify, publish, or distribute it for operational and promotional purposes.

3.8 Intellectual Property Rights

All Platform elements — including design, interface, software, text, graphics, logos, and databases — are the property of SellMisto.

Users must not:

• Copy

• Reproduce

• Distribute

• Modify

• Scrape

• Extract data

• Reverse-engineer

Unauthorized use may result in legal action.

3.9 Third-Party Services

SellMisto partners with third parties for:

• Payment processing

• Delivery and logistics

• Identity verification

• Communications

SellMisto is not liable for delays or losses caused by such partners.

3.10 Liability Disclaimer

SellMisto does not guarantee:

• Product quality, safety, or legality

• Delivery timelines

• Stock accuracy

• Seller integrity

• Continuous or error-free Platform availability

Users access and use the Platform at their own risk.

SellMisto is not responsible for:

• Business losses

• Loss of income or data

• Indirect or consequential damages

• Incorrect Buyer information

• Misrepresentation by Sellers

• Courier errors

3.11 Indemnification

You agree to indemnify SellMisto against claims arising from:

• Policy violations

• Illegal use of the Platform

• Intellectual property breaches

• Fraudulent activities

• Misuse of accounts or services

SellMisto may recover legal fees and damages incurred.

3.12 Force Majeure

SellMisto is not responsible for delays or failures caused by events outside its control, including:

• Natural disasters

• Government restrictions

• Internet outages

• Riots

• Strikes

• Political unrest

• Logistic disruptions

3.13 Termination of Access

SellMisto may suspend or terminate your access without prior notice if you:

• Violate Terms

• Engage in fraud

• Harm the Platform

• Repeatedly misuse services

• Circumvent procedures

Users may request account deletion at any time.

3.14 Governing Law & Jurisdiction

These Terms are governed by the laws of Pakistan.
All disputes are subject to the exclusive jurisdiction of courts in Karachi.

4. CONDITIONS OF SALE (BETWEEN BUYER & SELLER)

4.1 Order Acceptance & Contract Formation

• An order placed by a Buyer is a legal offer.

• A contract is formed only upon dispatch by the Seller.

• Sellers may cancel orders before dispatch.

• Buyers may cancel before dispatch unless restricted by product type.

4.2 Pricing & Availability

• Prices displayed include applicable taxes.

• Prices may change before order confirmation.

• Sellers must maintain accurate stock details.

• SellMisto may cancel orders arising from pricing or listing errors.

• Identity verification may be required for high-value orders.

4.3 Payment Terms

Payments collected by SellMisto may include:

• Cash on Delivery (COD)

• Credit/Debit Cards

• Bank Transfers

• Wallet balance

• Vouchers

Off-platform payments are strictly prohibited.

Refunds may be issued via:

• Original payment method

• SellMisto Wallet

• Promotional voucher

Subject to the Refund Policy.

4.4 Shipping & Delivery

SellMisto uses a hybrid fulfillment model:

• Some orders are delivered by Sellers

• Others by SellMisto logistics partners

Buyers are responsible for:

• Accurate address details

• Active contact numbers

• Availability for delivery

Failed delivery due to Buyer error may incur redelivery fees.

4.5 Returns & Replacements

Returns are handled under the Return & Refund Policy:

• Not all items are returnable

• Products must meet return conditions

• Wrong, damaged, incomplete, or counterfeit items may be eligible

• Rejected returns are shipped back to the Buyer

If the Buyer fails to collect items after three attempts, products may be discarded.

4.6 Seller Responsibilities

Sellers must:

• Provide accurate product descriptions

• Maintain updated stock

• Ship promptly

• Respond to Buyer inquiries

• Comply with local laws

• Offer only genuine and permissible products

4.7 Unauthorized Reselling

Unauthorized resale of products purchased from SellMisto is prohibited unless approved in writing.

5. BUYER POLICY

5.1 General Responsibilities

Buyers must:

• Use accurate account information

• Provide real delivery details

• Not misuse promotional offers

• Not exploit return or refund systems

5.2 Transaction Conduct

Buyers must:

• Honor confirmed orders

• Not refuse delivery without valid reason

• Avoid fake or fraudulent orders

• Avoid off-platform dealings

• Accept delivery before filing complaints

5.3 Reviews & Ratings

Reviews must be:

• Honest

• Constructive

• Non-abusive

• Non-deceptive

Manipulation of ratings is prohibited.

5.4 Fraud Prevention

SellMisto may:

• Hold or delay payments

• Block suspicious accounts

• Request documentation

• Suspend high-risk activities

6. MISCELLANEOUS

6.1 Entire Agreement

These Terms, along with referenced policies, form the entire agreement between the User and SellMisto.

6.2 Severability

If any clause becomes unenforceable, the remaining terms remain in effect.

6.3 Waiver

Failure to enforce any right does not constitute a waiver of future enforcement.
